This Mutual Non-Disclosure Agreement is entered into between Your Studio ("Provider") and Acme Industries ("Client"), together the "Parties", effective 1 August 2026.

Terms of confidentiality

1. Confidential Information

All non-public business, technical, financial and customer information disclosed by either party, in any form, is Confidential Information.

2. Obligations

Each party will protect the other's Confidential Information with at least the care it uses for its own, and never less than reasonable care, and will use it only for the Purpose.

3. Exclusions

Information that is public, already known, independently developed, or lawfully received from a third party is not Confidential Information.

4. Term

Obligations survive for 3 years from disclosure. On request, each party will return or destroy the other's Confidential Information.

5. Remedies

Unauthorised disclosure may cause irreparable harm; the disclosing party may seek injunctive relief in addition to other remedies.

6. Governing law

This agreement is governed by the laws of India; courts at the sender's registered place of business have exclusive jurisdiction.

By signing below, Your Studio and Acme Industries agree to the scope, timeline and commercial terms described in this document, effective from the date of signing.
